In a major consolidation move in India’s mother-and-child healthcare segment, Cloudnine Hospitals is set to acquire Apollo Hospitals’ maternity and fertility businesses, Apollo Cradle and Apollo Fertility, significantly expanding its footprint across the country.

The transaction is being valued at nearly 1,550 crore, making it one of the largest deals in India’s specialised healthcare sector. Apollo Hospitals is expected to retain a minority stake in the merged entity following the transaction.

The acquisition is poised to create one of the country’s largest integrated platforms for maternity, neonatal, pediatric and fertility care. Industry observers say the move underlines the growing demand for specialised healthcare services and the increasing investor appetite for focused healthcare chains in India.

Apollo Cradle currently operates maternity and childcare centres across several major cities including Delhi-NCR, Bengaluru, Chennai, Hyderabad and Gurugram. Apollo Fertility, meanwhile, has built a presence in assisted reproductive services, a segment witnessing rapid growth amid rising awareness and changing lifestyle trends.

Cloudnine, backed by prominent investors such as Temasek, True North and TPG NewQuest, has steadily expanded its network of women and childcare hospitals in urban markets over the past few years. The acquisition is expected to further strengthen its position in the premium maternity and fertility care segment.

The deal follows months of negotiations and due diligence, with several healthcare platforms and investment firms reportedly evaluating Apollo’s maternity business before Cloudnine emerged as the frontrunner.

Healthcare analysts believe the acquisition could reshape competition within India’s organised women and child healthcare market, where specialised hospital chains are increasingly scaling operations through strategic partnerships and acquisitions.

For Apollo Hospitals, the divestment aligns with its larger strategy of focusing on core hospital operations, diagnostics and digital healthcare businesses, while unlocking value from specialised verticals.
